Welcome to ConnectWave API. These Terms & Conditions ("Terms," "Agreement") govern your access to and use of our website located at https://connect-wave.top and the API integration services provided by ConnectWave API ("we," "us," "our," "Company," or "Service").
IMPORTANT: Please read these Terms carefully before using our services. By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.
1. Acceptance of Terms
By registering for an account, purchasing our API plans, accessing our website, or using our services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Refund Policy, which are incorporated by reference.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and ConnectWave API. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility
To use our services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using our services under applicable laws
- Provide accurate and complete registration information
- Maintain the confidentiality of your account credentials
By using our services, you represent and warrant that you meet all eligibility requirements.
3. Account Registration and Security
3.1 Account Creation
To access certain features of our services, you must create an account by providing:
- Full legal name
- Valid email address
- Phone number
- Billing address
- Payment information
- Company information (if applicable)
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring your password meets our security requirements
- Logging out of your account at the end of each session
3.3 Account Accuracy
You agree to:
- Provide accurate, current, and complete information
- Update your information promptly when changes occur
- Not create multiple accounts for the same individual or organization
- Not impersonate another person or entity
We reserve the right to suspend or terminate accounts with inaccurate or fraudulent information.
4. Services Description
4.1 API Integration Services
ConnectWave API provides messaging integration services through various subscription plans:
- Starter Plan: 10,000 messages/month, basic webhook support, email support ($49/month)
- Growth Plan: 50,000 messages/month, advanced webhooks, priority support, analytics ($149/month)
- Professional Plan: 200,000 messages/month, custom webhooks, 24/7 support, dedicated account manager ($399/month)
- Enterprise Plan: 1,000,000 messages/month, white-label options, 99.9% SLA, custom development ($999/month)
- Custom Plan: Tailored solutions with unlimited messages, dedicated infrastructure, custom pricing
4.2 Service Features
Our services include:
- WhatsApp Business API integration
- Business messaging capabilities
- Webhook support and event notifications
- Real-time analytics and reporting
- API documentation and code examples
- Technical support and customer service
- Security and compliance measures
4.3 Service Availability
We strive to maintain 99.9% uptime for our services. However, we do not guarantee uninterrupted access and may perform scheduled maintenance, updates, or repairs that temporarily affect service availability.
5. Subscription and Billing
5.1 Subscription Plans
By subscribing to any of our plans, you agree to:
- Pay the applicable subscription fees
- Provide valid payment information
- Authorize us to charge your payment method
- Comply with the message volume limits of your chosen plan
5.2 Billing Cycle
- Subscriptions are billed monthly or annually depending on your selection
- Billing begins immediately upon subscription purchase
- Charges are processed on the same day each billing cycle
- We will send billing statements to your registered email address
5.3 Payment Methods
We accept the following payment methods:
- Credit cards (Visa, MasterCard, American Express)
- Debit cards
- Other payment methods as made available
All payments are processed securely through third-party payment processors. We do not store complete credit card information on our servers.
5.4 Failed Payments
If a payment fails:
- We will notify you via email
- We will attempt to process the payment again
- Your account may be suspended if payment is not received within 7 days
- Your account may be terminated if payment is not received within 30 days
- You remain responsible for any unpaid fees
5.5 Price Changes
We reserve the right to modify our pricing with 30 days' advance notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals unless you cancel your subscription.
5.6 Taxes
All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties. You are responsible for paying all taxes associated with your purchase, except for taxes based on our net income.
6. Message Usage and Limitations
6.1 Message Quotas
- Each plan includes a specific monthly message quota
- Message quotas reset on the first day of each billing cycle
- Unused messages do not roll over to the next billing period
- Exceeding your message quota may result in additional charges or service throttling
6.2 Overage Charges
If you exceed your plan's message quota:
- Additional messages may be charged at our standard overage rates
- We will notify you when approaching your quota limit
- You may upgrade to a higher plan to avoid overage charges
6.3 Fair Use Policy
You agree to use our services in accordance with fair use principles and not to:
- Send spam or unsolicited messages
- Abuse rate limits or attempt to circumvent usage restrictions
- Use automated systems to generate excessive API requests
- Engage in activities that degrade service performance for other users
7. Acceptable Use Policy
7.1 Permitted Uses
You may use our services for legitimate business purposes, including:
- Customer notifications and transactional messages
- Order confirmations and shipping updates
- Appointment reminders
- Customer support communications
- Marketing messages (with proper consent)
- Two-factor authentication
7.2 Prohibited Uses
You agree NOT to use our services to:
- Send spam, unsolicited messages, or bulk communications to non-consenting recipients
- Transmit illegal, harmful, threatening, abusive, harassing, defamatory, or offensive content
- Violate any applicable laws, regulations, or third-party rights
- Distribute malware, viruses, or malicious code
- Engage in fraudulent activities or phishing schemes
- Impersonate others or misrepresent your identity
- Infringe upon intellectual property rights
- Interfere with or disrupt our services or servers
- Attempt to gain unauthorized access to our systems
- Collect or harvest personal information without consent
- Send messages containing adult content, gambling, weapons, drugs, or other restricted materials
- Violate WhatsApp's Terms of Service or Business Policy
7.3 Compliance with Laws
You must comply with all applicable laws and regulations, including but not limited to:
- CAN-SPAM Act (United States)
- Telephone Consumer Protection Act (TCPA)
- General Data Protection Regulation (GDPR)
- California Consumer Privacy Act (CCPA)
- Other applicable privacy and communication laws
7.4 Content Responsibility
You are solely responsible for:
- The content of messages sent through our API
- Obtaining necessary consents from message recipients
- Maintaining opt-out mechanisms for marketing messages
- Ensuring compliance with applicable regulations
8. Intellectual Property Rights
8.1 Our Intellectual Property
All content, features, and functionality of our services, including but not limited to:
- Text, graphics, logos, images, and software
- API code, documentation, and technical materials
- Design, layout, and compilation of our website
- Trademarks, service marks, and trade names
are owned by ConnectWave API and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
8.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use our services for your business purposes
- Use our API in accordance with our documentation
- Display our integration badges or logos as provided
This license does not include any right to:
- Modify, reproduce, or distribute our materials
- Reverse engineer or decompile our software
- Create derivative works based on our services
- Remove or alter proprietary notices
8.3 User Content
You retain all rights to the content you submit through our services. By using our services, you grant us a worldwide, non-exclusive, royalty-free license to:
- Process, transmit, and deliver your messages
- Store your content for service provision
- Use aggregated, anonymized data for analytics and improvements
8.4 Feedback
If you provide suggestions, ideas, or feedback about our services, you grant us the right to use such feedback without compensation or obligation to you.
9. Service Level Agreement (SLA)
9.1 Uptime Commitment
For Professional and Enterprise plans, we commit to 99.9% uptime, calculated monthly. Uptime is measured as the percentage of time our API is available and responsive.
9.2 Exclusions
Uptime commitments do not apply to:
- Scheduled maintenance windows (announced 48 hours in advance)
- Outages caused by third-party services or infrastructure
- Issues resulting from your actions or misuse
- Force majeure events beyond our reasonable control
- Starter and Growth plans (best-effort basis)
9.3 Service Credits
If we fail to meet the 99.9% uptime commitment for Enterprise plans:
- 99.0% - 99.9% uptime: 10% service credit
- 95.0% - 98.9% uptime: 25% service credit
- Below 95.0% uptime: 50% service credit
Service credits must be requested within 30 days of the incident and are applied to future invoices.
10. Termination and Suspension
10.1 Termination by You
You may cancel your subscription at any time by:
- Accessing your account settings
- Contacting our support team
- Following the cancellation procedures outlined in our Refund Policy
Cancellation takes effect at the end of your current billing period. You will retain access to services until that date.
10.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy
- Your account shows suspicious or fraudulent activity
- Payment is not received after repeated attempts
- You engage in activities that harm our services or other users
- Required by law or legal process
- We cease operations or discontinue services
10.3 Effects of Termination
Upon termination:
- Your access to services will be immediately revoked
- We will delete or anonymize your data within 90 days (except as required by law)
- You remain responsible for any unpaid fees
- Provisions that should survive termination will remain in effect
- No refunds will be provided for partial months (except as stated in Refund Policy)
11. Disclaimers and Warranties
11.1 Service "As Is"
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Title
- Accuracy or reliability of results
11.2 No Guarantee
We do not guarantee that:
- Our services will be uninterrupted, timely, secure, or error-free
- Results obtained from our services will be accurate or reliable
- Quality of services will meet your expectations
- Defects or errors will be corrected
- Our services will be compatible with all platforms or devices
11.3 Third-Party Services
We are not responsible for the performance, reliability, or availability of third-party services (such as WhatsApp) that we integrate with.
12. Limitation of Liability
12.1 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONNECTWAVE API SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Cost of substitute services
- Business interruption
- Loss of goodwill or reputation
12.2 Maximum Liability
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF:
- The amount you paid us in the 12 months preceding the claim, OR
- $100 USD
12.3 Exceptions
The above limitations do not apply to:
- Our gross negligence or willful misconduct
- Violations of intellectual property rights
- Indemnification obligations
- Matters that cannot be limited by applicable law
13. Indemnification
You agree to indemnify, defend, and hold harmless ConnectWave API, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of our services
- Your violation of these Terms
- Your violation of any law or third-party rights
- Content you submit through our services
- Your negligence or willful misconduct
- Claims by third parties regarding your messages or communications
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
14. Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions.
14.2 Jurisdiction
You agree to submit to the personal and exclusive jurisdiction of the courts located in Minnesota, United States, for resolution of any disputes.
14.3 Informal Resolution
Before filing a claim, you agree to contact us to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes amicably.
14.4 Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.
14.5 Class Action Waiver
You agree to bring claims only in your individual capacity and not as part of any class or representative action. Class arbitrations and class actions are not permitted.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date
- Post the revised Terms on our website
- Notify you via email or prominent website notice for material changes
- Provide a reasonable period for you to review changes
Your continued use of our services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of our services.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ConnectWave API regarding our services.
16.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
16.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
16.6 Survival
Provisions that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
16.7 Notices
All notices under these Terms shall be in writing and shall be deemed given when:
- Delivered personally
- Sent by confirmed email
- Sent by certified mail, return receipt requested
16.8 Relationship of Parties
You and ConnectWave API are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, or employment relationship.
